SOFTWARE LICENCE AGREEMENT

Carefully read the following licence agreement before proceeding with the purchase of the software you wish to licence. By purchasing the software you indicate your acceptance of the terms of this agreement. DEFINITIONS

1. EIS means Eurofield Information Solutions Pty Limited
2. Software means the computer program contained in this product, and all updates to the computer program. The term also includes all copies of any part of the computer program.
3. Product means Software and Data.

LICENCE

EIS grants you a non-exclusive, non-transferable licence to:

1. Use the Software on a single terminal based computer, or on an authorised number of simultaneous computers in a local area network.
2. Make copies of the Software for backup purposes only. Except as provided above, no right to copy the Software in whole or in part is granted.
3. You shall not disassemble, decompile or in any way attempt to reverse engineer the whole or any part of the Software.
4. You may not sub-license, rent or lease any portion of the Product.

COPYRIGHT & PROPRIETARY RIGHTS

The Software and all copies thereof are proprietary to and the property of EIS and title hereto remains with EIS. All applicable rights in copyrights, trademarks, trade secrets and other intellectual property rights in the Software regardless of its type or form are and will remain in EIS and are protected by Australian and international copyright laws. The licence and your right to use the Product terminate immediately if you violate any part of this agreement. In the event of termination you must immediately destroy all copies of the Product or return them to your supplier.

LIMITED WARRANTY

1. EIS warrants that the Software will perform substantially in accordance with the Documentation or functional information contained in the Help for a period of 90 days from your receipt of the Product. Any written or oral information given by EIS dealers, distributors or agents will in no way increase the scope of this warranty.
2. If the Product fails to comply with the warranty set forth above, EIS's entire liability and your exclusive remedy will be limited to the cost of replacing the Software or refunding to you the purchase price thereof, at the option of EIS. This limited warranty applies for a period of ninety (90) days from receipt of the Software.
3. EIS disclaims all other warranties, either express or implied including but not limited to implied warranties of merchantability and fitness for a particular purpose, with respect to the product.
4. In no event shall EIS be liable to licensee or any third-party for any special, direct, indirect, exemplary, incidental or consequential damages, including any lost profit or lost savings, even if EIS has been advised knows or should know of the possibility of such damages. In no event EIS's liability hereunder based on any legal theory or cause of action exceed the total amount paid to EIS by licensee.

GENERAL

1. This agreement constitutes the entire agreement between you and EIS and supersedes all prior agreements concerning the subject matter herein and may not be changed or terminated except by a written communication EIS is not bound by any provisions of any purchase order, receipt, acceptance, confirmation, correspondence or otherwise unless EIS agrees to the provision in writing.
2. This agreement shall be governed by the laws of the State of New South Wales and any disputes arising hereunder shall be resolved only in the courts of New South Wales, Australia.
